These terms govern all projects undertaken by Niraj Lalwani. By engaging my services, you agree to these conditions.
1.Project Timelines
Estimated delivery timelines:
- Static Website: 5-10 Days
- E-Commerce Website: 15 Days
- Custom / Web Application: Depends on complexity
Note: Timely client responses and content submissions are essential. If the project is delayed due to client-side reasons, the remaining balance must be cleared before resuming work.
2.Payment Terms
- 50% Advance Payment – required to start the project
- 50% Final Payment – due before domain connection and handover
Note: Any advance or partial payment made is strictly non-refundable.
3.Project Ownership
During the development phase and until full payment is received, the website ownership remains with Niraj Lalwani.
Full ownership transfers only after:
- Final payment is made
- Project is fully completed and delivered
4.Commitment to Delivery
I deliver exactly what has been promised and discussed — nothing more, nothing less. This ensures focused quality, clarity, and transparency.
No changes in scope of work will be entertained without additional charges.
5.Developer Credit
A standard developer credit – "Developed by Niraj Lalwani" – will be displayed in the website footer.
Removal option: If you wish to remove this credit, a one-time fee of ₹5,000 will be applicable.
6.No Discounts After Project Start
Once the project begins and terms are agreed, no further discounts or price revisions will be applicable. The quoted amount is final.
7.Non-Refundable Payment Policy
If you discontinue the project for any reason, the amount already paid is strictly non-refundable, regardless of project stage or progress.
8.Design Approval & Scope of Work
The website design, layout, and UI will be planned and finalized in consultation with you.
Important: Once the design is approved and development begins, major design changes or complete redesign requests will be considered new requirements and charged separately.
9.Additional Change Requests
Any request beyond the approved scope of work will be treated as additional work and charged separately.
10.Client-Side Technical Issues
I am not responsible for issues caused by client-side configurations, including:
- Payment gateway or account verification failures
- Delivery partner integration problems
- Domain or hosting access issues
- Third-party or client-end errors
11.Framework & Technology Updates
I am not responsible for any technical or compatibility issues that may arise from future updates to frameworks, libraries, or technologies used in your project.
12.Domain, Hosting & SSL Guidance
Domain and hosting are the client's responsibility and part of legal ownership.
What I provide: I will guide and assist you through the entire process of purchasing domain and hosting. I will ensure the website is properly configured, live, and working correctly.
Note: I do not purchase domain or hosting on your behalf. All accounts will be in your name, giving you full legal ownership and control.
13.Phase-Wise Confirmation
The project progresses in defined phases. Once a phase is completed and approved, it is considered final. Any post-approval modifications will be chargeable separately.
14.Content & Asset Responsibility
You must provide all required assets, including:
- Logos, images, brand content
- Legal documents (Terms, Privacy Policy, etc.)
- Written content for the website
Note: Legal documents are your responsibility — I do not draft them.
15.Project Hold & Pricing
If you pause the project and resume later:
- Work will resume based on current pricing
- Any price increase during the pause will apply
- Pending dues must be cleared before resuming
16.Post-Deployment Changes
Once the website is completed, approved, and made live:
- Any changes will be treated as additional work
- Charged based on scope and complexity
17.Acceptance of Terms
Once this document is shared in the official project communication channel (WhatsApp/Email), all clauses are considered legally binding.

- Regardless of acknowledgment or silence
Transparency: All additional charges will be communicated and approved before execution.
18.Legal Threats & Disputes
I operate with full transparency and documented communication records.
Any form of false legal threats, intimidation, or payment avoidance using legal pressure will not be valid grounds for dispute.
Rights reserved: I reserve the right to initiate legal counteraction, claim damages, or terminate the project without refund in case of harassment or defamation.
19.Payment Disputes & Bank Issues
If any payment results in a bank lien, chargeback, or restriction on my account due to client-side issues:
- You must resolve the matter immediately
- If not resolved within 7 days, you agree to compensate the affected amount
- Services may be suspended until resolved
These terms are designed for mutual understanding and smooth collaboration.
